Design Alligators Final Delivery and Handover Sign-Off Agreement

This Final Delivery and Handover Sign-Off Agreement  is made and entered into between Design Alligators.

01. Project Overview The Agency has provided the following digital services to the Client:

Project specifications and deliverables have been outlined in the Statement of Work (SOW) attached to the original Service Agreement.

02. Final Deliverables The following final deliverables have been completed and provided to the Client:

03. Client Acknowledgement and Acceptance By signing this Agreement, the Client acknowledges and confirms that:

• All deliverables have been received in full and meet the agreed specifications and standards.
• The Client is satisfied with the quality and completion of the work.
• The Client has thoroughly reviewed the deliverables and has had the opportunity to request revisions as per the terms of the original agreement.

04. No Further Disputes: The Client agrees that:

• The project has been completed to their satisfaction, and no further disputes or claims regarding the deliverables will be made.
• The Agency is not liable for any issues or disputes arising after the delivery of the final deliverables.
• The Client will not initiate any chargebacks, disputes, or claims against the Agency in relation to the completed project.

05. Maintenance and Liability: The Client understands and agrees that:

• The Agency is not responsible for the ongoing maintenance, updates, or management of the delivered digital products. Until and unless monthly maintenance service is subscribed.
• The responsibility for maintaining and managing the digital products lies solely with the Client.
• Any modifications, updates, or maintenance required after the final delivery will be the Client's responsibility.

06. Intellectual Property Rights Upon signing this Agreement and completing full payment, the Client is granted exclusive rights to the final deliverables as per the original Service Agreement. The Agency retains the right to use the deliverables for promotional purposes unless explicitly restricted by the Client.

07. Legal Binding This Agreement is legally binding and enforceable under the laws of United States of America. Any disputes arising from this Agreement will be resolved through non-binding arbitration.
